FinanceFlex Terms of Service

Governing the access to and usage of the FinanceFlex Enterprise Cloud Retail ERP, Point of Sale (POS), Inventory Intelligence, and SitanetPay / 9PSB Banking Rails.

Effective Date: October 1, 2026 • Operator: SITANET GLOBAL ORBIT LIMITED (RC: 1772819) • Banking Rail Partner: 9 Payment Service Bank (9PSB).

1. Preamble & Agreement to Terms

These Terms of Service ("Agreement") constitute a legally binding agreement between you (whether individually or representing a registered business entity, hereafter referred to as the "Merchant", "User", or "You") and SITANET GLOBAL ORBIT LIMITED ("Company", "We", "Us", or "Our"), the operator of the FinanceFlex multi-tenant enterprise software platform.

By creating an account, registering a business workspace, uploading Director NIN/BVN credentials, or utilizing any of our Point of Sale (POS), Inventory Intelligence, or automated payment services, you explicitly confirm that you have read, understood, and agreed to be bound by all the provisions of this Agreement.

2. Scope of Software Services

FinanceFlex delivers a comprehensive suite of cloud business tools designed specifically for Nigerian Micro, Small, and Medium Enterprises (MSMEs), retail supermarkets, pharmacies, drycleaners, schools, and specialized trades:

  • Point of Sale (POS) Terminals: Real-time checkout, barcode scanning, digital receipt issuance, and cashier shift auditing.
  • Inventory Intelligence & Stock Radar: Multi-warehouse stock tracking, low-stock reorder thresholds, batch FEFO (First-Expired, First-Out) expiration alerts, and shrink prevention.
  • Automated Bookkeeping & Tax Engine: Automated PITA Direct Assessment ledgers, Federal CIT reporting, VAT lifecycle monitoring, and statutory financial statements.
  • Specialized Trade Modules: Tailoring measurements, Drycleaning bag tagging, Pharmacy batch directories, School term billing, Daily Thrift (Ajo/Esusu) collector tools, and Logistics tracking.

3. 3-Month Free Trial & Subscription Terms

To eliminate the cost barrier for growing Nigerian businesses, FinanceFlex grants newly registered businesses an initial 3-Month (90-Day) Free Trial:

  • During the 3-month trial, the Merchant enjoys 100% full, unrestricted access to all platform modules with zero upfront card or setup fees.
  • Upon conclusion of the 90-day trial period, continuing access requires selecting an affordable paid subscription plan (starting at ₦5,000/month).
  • Payments are processed securely via the SitanetPay Payment Gateway powered by 9PSB. If an active subscription lapses, a 3-day grace period is provided prior to read-only workspace restriction. Data is safely preserved.

4. SitanetPay & 9PSB (9 Payment Service Bank) Banking Rails

FinanceFlex integrates with SitanetPay, which operates directly on the Banking-as-a-Service (BaaS) infrastructure of 9 Payment Service Bank (9PSB), a licensed Payment Service Bank regulated by the Central Bank of Nigeria (CBN):

  • Dynamic Virtual NUBAN Accounts: Virtual bank accounts assigned to transactions are generated through 9PSB rails for seamless customer bank transfer reconciliation.
  • Authorized Use Only: All payment accounts and virtual NUBANs must be utilized exclusively for lawful commercial trade transactions directly related to the goods and services registered on your FinanceFlex workspace.
  • Strictly Prohibited Activities: Merchants are strictly forbidden from utilizing platform accounts for:
    1. Money laundering, terrorist financing, or handling proceeds of illegal activities.
    2. Unlicensed money transmission, bureau de change (BDC), or pyramid/Ponzi schemes.
    3. Facilitating gambling, betting, or illegal drug/narcotics commerce.
    4. Fraudulent chargebacks or deceptive payment solicitation.
  • Violation of prohibited activities will trigger immediate workspace termination, asset freezing, and mandatory reporting to the Economic and Financial Crimes Commission (EFCC), Nigeria Financial Intelligence Unit (NFIU), and CBN.

5. KYC & Identity Verification (NIN & BVN)

In compliance with Central Bank of Nigeria (CBN) Customer Due Diligence (CDD) guidelines and 9PSB onboarding protocols:

  • Merchants and business proprietors must provide accurate identity verification details, including their National Identity Number (NIN), Bank Verification Number (BVN), and government-issued NIN Slip.
  • All identity lookups are conducted in strict compliance with the Nigeria Data Protection Act (NDPA) 2023 and are used exclusively for regulatory identity compliance.

6. Merchant Data Ownership & Confidentiality

The Merchant retains all ownership rights, title, and interest in their business customer data, sales records, product catalogs, and accounting transactions. FinanceFlex implements strict multi-tenant database isolation, guaranteeing that no other tenant or third party can access your trade data.

7. Limitation of Liability

To the fullest extent permitted by Nigerian law, SITANET GLOBAL ORBIT LIMITED and its banking partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of server outages, internet telecom interruptions, or banking inter-switch settlement delays outside our reasonable technical control.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by, and construed in accordance with, the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with this Agreement shall first be resolved through good-faith mutual consultation, failing which it shall be referred to arbitration in Lagos, Nigeria under the Arbitration and Mediation Act 2023.
